Terms and Conditions

1. The product

WooSculpt Upsell is a WordPress plugin designed to add quantity pack offer widgets to WooCommerce product pages. The plugin requires WordPress 6.0 or higher, WooCommerce 6.0 or higher, and PHP 7.4 or higher. It is tested with standard WooCommerce configurations and simple and variable product types.

WooSculpt products are digital goods. There is no physical shipment. Access is provided via license key after confirmed payment.

2. License grant

WooSculpt products are licensed, not sold. Upon purchase you receive a non-exclusive, non-transferable, revocable license to install and use the plugin on the number of WordPress sites permitted by your plan:

• 1 Site License: Use on 1 WordPress installation.
• 5 Site License: Use on up to 5 WordPress installations.
• Agency License (25 Sites): Use on up to 25 WordPress installations. Sites may be owned by you or your clients. Each installation must be a separate WordPress site.

A "site" means a single WordPress installation accessible at a unique domain or subdomain. Staging and local development environments used exclusively for testing the same production site do not count toward your site limit.

3. License activation & updates

A valid, active license key is required to receive plugin updates, access the license-protected update system, and use features that depend on license validation. Your license key is generated at the time of purchase and sent to your registered email address.

• License keys may not be shared, resold, or transferred to another person or entity without written permission from WooSculpt.
• If your license expires, the plugin will continue to function on currently activated sites but you will lose access to updates, new features, and license-based support.
• WooSculpt reserves the right to deactivate a license key that has been used in violation of these terms.

4. Payments

All purchases are processed securely by Stripe, Inc. WooSculpt does not store full payment card information. By completing a purchase you agree to Stripe's Terms of Service. Prices are displayed in USD and are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes applicable in your jurisdiction.

For subscriptions or renewals, your payment method will be charged automatically at the start of each billing period unless you cancel before the renewal date.

5. Refunds

We offer a 14-day money-back guarantee on first-time purchases of annual plans. Refund eligibility, process, and exceptions are described fully in our Refund Policy, which is incorporated into these terms by reference. Renewals are not eligible for refunds.

6. Acceptable use

You may not:

• Resell, redistribute, sublicense, or share the plugin files or license keys with third parties.
• Reverse engineer, decompile, or attempt to extract the source code of any protected portion of the plugin.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices in the plugin files.
• Use the plugin in a manner that violates applicable laws or regulations.
• Use the plugin to facilitate spam, fraudulent transactions, or deceptive commercial practices.
• Activate a single license key on more sites than your plan permits.
• Attempt to circumvent license validation, update checks, or access controls.

7. Agency license terms

The Agency License permits installation on client sites up to the site limit of the plan. Under the Agency License:

• You are responsible for ensuring each client site complies with these terms.
• You may not provide clients with the license key directly. The license must remain under your control.
• Client sites count toward your total site activation limit.
• If you lose a client, you should deactivate the plugin from that client's site to free up an activation slot.
• You may not resell or sublicense the plugin to clients as a standalone product.

8. Updates & support

Updates and access to our support team are provided while your license is active. WooSculpt reserves the right to:

• Modify, discontinue, or change features of the plugin with reasonable notice.
• Limit or discontinue support for older WordPress, WooCommerce, or PHP versions after giving advance notice.
• Adjust pricing at renewal with 30 days' notice to registered customers.

Support is provided in English via our support portal. We aim to respond within 2 business days. We do not guarantee resolution of all issues, particularly those caused by third-party plugin conflicts or heavily customized WordPress configurations.

9. Warranty disclaimer

WooSculpt Upsell is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the plugin will be error-free, uninterrupted, or compatible with all WordPress themes, plugins, or server configurations.

You are responsible for testing the plugin on a staging environment before deploying to a live store, and for maintaining backups of your WordPress site.

10. Limitation of liability

To the maximum extent permitted by applicable law, WooSculpt and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue, loss of data, loss of customers, or business interruption, arising out of or related to your use or inability to use the plugin, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these terms shall not exceed the amount you paid for the relevant license in the 12 months preceding the claim.

11. Intellectual property

All intellectual property rights in WooSculpt products, including source code, design, documentation, and trademarks, remain the exclusive property of WooSculpt. These terms do not transfer any ownership rights to you. Feedback or suggestions you provide may be used by WooSculpt without obligation or compensation.

12. Third-party software

WooSculpt Upsell is designed for use with WordPress and WooCommerce, which are independent products governed by their own licenses (GPL). WooSculpt is not affiliated with, endorsed by, or sponsored by Automattic, WooCommerce, or Stripe. Use of those platforms is subject to their respective terms of service.

13. Termination

WooSculpt may terminate or suspend your license immediately and without notice if you materially breach these terms. Upon termination you must cease using the plugin and delete all copies. Provisions that by their nature should survive termination (including Sections 9, 10, 11, and 14) shall do so.

14. Governing law & disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or related to these Terms or your use of WooSculpt products shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in the territory where WooSculpt operates, as applicable.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated to registered customers by email or notice on our website at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated terms.
